Bankruptcy Committees

In re American International Petroleum Corporation, Case No. 04-21331, United States Bankruptcy Court for the Western District of Louisiana, Lake Charles Division; Publicly traded debtor engaged in oil and gas exploration in Kazakhstan and chemical refining; appointed as counsel for the Official Equity Security Holders Committee with no unsecured creditors committee appointed. Results: Negotiated a settlement of primary secured creditor's indebtedness, negotiated a consensual plan of reorganization transferring all assets to a Trustee selected by the Equity Committee with two equity members on the board and which allowed continued trading of company stock.

In re EnRe, L.P., Debtor; Case No. 02-21354-C-11; in the United States Bankruptcy Court, Southern District of Texas, Corpus Christi Division; debtor engaged in oil and gas exploration and production; liabilities in excess of $100 million; Co-counsel for the Official Unsecured Creditors' Committee. Results: Obtained confirmation of a plan which will satisfy in excess of 85% of allowed unsecured claims.

Representation of Debtor

In re Equity Northwoods Park Limited Partnership, Case No. 04-39574, United States Bankruptcy Court, Southern District of Texas, Houston Division; Approved as Counsel for the Debtor. Debtor owned an office building in Northwest Houston under imminent threat of foreclosure. Results: Obtained a confirmed plan of reorganization allowing the Debtor to sell the property, which was accomplished, for a sum far in excess of the secured debt.

In re Edwin Epstein, Jr. Operating Company, Inc., Case No. 04-50106, United States Bankruptcy Court, Southern District of Texas, Houston Division; Approved as Special Litigation Counsel for the Debtor. Debtor was asserting a highly disputed ownership interest in oil and gas producing properties in Starr County, Texas. Results: Negotiated a settlement of the litigation which ultimately resulted in a successful sale of the ownership interests in the oil and gas properties providing a significant return to creditors.

Business Bankruptcies - Creditor Representation

In re Ramba, Inc., 437 F.3d 457 (5th Cir. 2006). Counsel for Schlumberger Technology Corp. and Trans-Capital, Inc. Defense counsel for preferential transfer defendants. Results: Successfully prosecuted summary judgment in favor of preference defendants and appeal to the Fifth Circuit Court of Appeals, which upheld take nothing judgment. Clients received verdicts that they pay nothing to the Chapter 7 Trustee seeking recovery of alleged preferential transfers.

In re Matco, Inc., Case No. 01-00712, United States Bankruptcy Court, District of Arizona; Debtor engaged in oil and gas exploration in offshore United Arab Emirates; Counsel for a sole petitioning creditor seeking to adjudicate the Debtor in Chapter 7 bankruptcy for failure to pay for approximately $10 million of seismic exploration work. Results: Debtor adjudicated bankrupt after a trial held over several months. Seismic was ultimately recovered and liquidated to benefit the creditors of the estate.

In re Equinox Oil Co., 300 F.3d 614 (5th Cir. 2002). Counsel for Baker Hughes Inc. and Computalog before the lower courts and the Fifth Circuit Court of Appeals in prosecuting mineral lien claims against interests of primary secured lender under the Louisiana Oil Well Lien Act and in successful reversal of lower court ruling that insurance proceeds were removed from the bankruptcy estate.

In re Forcenergy, Inc., Case No. 99-11391, United States Bankruptcy Court, Eastern District of Louisiana. Debtor engaged in oil and gas exploration. Represented oil and gas lien claimants with mineral lien claims in Louisiana, Texas, Alaska, and Kansas to enforce mineral lien rights under various state law jurisdictions.

In re Sharpe Energy Company , Case No. 99-37712, United States Bankruptcy Court, Southern District of Texas, Houston Division; Debtor engaged in oil and gas production; counsel for certain mechanic's and materialman's lien creditors to enforce rights.

In re American Cascade Energy, Inc., Case No. 97-49084, United States Bankruptcy Court, Southern District of Texas, Houston Division. Debtor engaged in oil and gas exploration in Texas. Counsel for several trade creditors seeking to adjudicate the debtor in involuntary bankruptcy. Results: After contested trial, the Debtor was adjudicated bankrupt.

Bankruptcy Litigation

Recently (2006) successfully negotiated a settlement of an action whereby a Chapter 7 Trustee sought the return of over $200,000 from a former business owner for funds allegedly wrongfully received by the business owner.

Recently (2006) obtained take-nothing dismissal of four lawsuits brought by casinos seeking to hold nondischargeable the large gambling debts incurred by an individual debtor.

State Court Engagements

Baker Hughes Oilfield Operations v. Edco Energy , Case No. 98-11-17883, Dewitt County, Texas. Representation of creditors for unpaid oil well services; Successful installation of Receiver for oil and gas proceeds who is currently still collecting revenues from production.

Regular representation of note holders and mortgage company in foreclosures for unpaid loans secured by real estate.

Other recent matters include: Successful settlement of a homeowner dispute for defective construction of an upscale home remodeling job; Successful corporate dissolution of closely held company after death of sole owner.
